According to multiple media sources Twitter has reached a deal with the representatives of Elon Musk for the tech billionaire to purchase the social media company. According to the Wall Street Journal, over the weekend the outlines of the deal were agreed and last night the final assembly of the purchase came together.
Keep in mind that Twitter is slated to report first-quarter earnings this Thursday, and originally the board was going to wait until after that earnings announcement to respond to the bid.
Something changed.
My suspicion is the financials of the Q1 earnings report will not support the $54.20 high end evaluation offer originally proposed by Musk.
If the low Q1 earnings rumors are accurate; and if Twitter had declined or fought the offer; the board would have been in the position of declining a deal that was substantially higher than the company market value, a tenuous position legally. Thus, a deal was made.
(Wall Street Journal, update) – “Twitter is in advanced discussions to sell itself to Elon Musk and could finalize a deal Monday, people familiar with the matter said, days after the billionaire unveiled his $43 billion bid for the company.
The two sides worked through the night to hash out a deal that would be valued at $54.20 a share, or $44 billion, the people said. Assuming there isn’t a last-minute snag, the deal is expected to be announced after the market closes Monday, if not sooner.
It’s not clear why the total value of the deal has increased slightly from prior expectations, but it could be related to an updated share count.” (link)
Elon Musk responded to the rumors of the finalized deal with a tweet earlier this afternoon: “I hope that even my worst critics remain on Twitter, because that is what free speech means.”
Meanwhile, the professional political leftists who use the platform are having a complete mental breakdown. Thousands of them are promising to leave Twitter and find a safe place if the deal goes through.
As CTH has continued to evaluate this entire scenario, the internal tech architecture is the aspect that is the most interesting. As this develops there is a great deal of interest into not just the controlled speech system that Twitter background operators have assembled, but also what underlying tech systems on the platform are connected to the public-private partnership.
We know there is a connection between the U.S. government and Twitter…. the question is, how is all of that being operated?

He is friends with Jack Dorsey and given some of Dorsey’s recent twits about the dysfunctional board… could it be that HE realizes twitter is screw*d up and this is a plan he and Elon cooked up to take it back to what it once was? It was odd that Dorsey quit the company when he did.

The big question to me, is what will the government do in its support of Twitter? If, as Sundance suggests, that Twitter could not exist without support of the government (use of servers, etc), will the gov’t withdraw support now that Twitter will not censor conservative comments? I guess he got some guarantees prior to the purchase.
My guess is that Elon plans to migrate the system to his own or contracted servers.
I expect that is in the long term plans if not the short term ones.
I wonder how much seeing what has occurred in South Africa has affected Musk and influences his decisions now.

Musk will have another issue to deal with if he wants Twitter to be a free speech platform. The apps for Twitter are still part of Google’s and Apple’s infrastructure. They will try to force Twitter to continue to censor by threatening to take down the popular mobile apps if Twitter doesn’t stay in line with the approved leftist narratives. IF apple has reached some agreement, it would be interesting to see how the leftist censor could still survive.
Because of the size of purchase, will require Twitter and Musk to submit the deal for review by the Justice Department or the Federal Trade Commission. Musk’s acquisition of Twitter isn’t the kind of deal the government (usually) challenges. The government most commonly intervenes when a company is buying a competitor; though have infrequently challenged deals when the acquisition will unfairly benefit the purchaser in another part of its business. Musk’s two major holdings — Tesla and SpaceX, don’t compete with Twitter. Don’t see why he would need to try to link them to the social network in any way.
Whatever the deal is with Twitter and Musk it is former officials who are saying that regulators are unlikely to block Musk’s purchase of Twitter.

Mega-rich does not mean “oligarch.” The key root is “arch” as in patri-archy. An oligarch is a person of power in an oligarchy. See the definition of oligarchy. You know what monarchy means so oligarchy is rule by a small group.

The original government subsidies are available to ALL American auto makers until the they have delivered X number of vehicles. Don’t remember what X is, but Tesla and one other company, maybe GM, have exceeded it, and are no longer eligible for it.
President Trump always said that he doesn’t blame other nations or corporations for exploiting our weaknesses to their advantage. He rightly blames those who make the laws that allow for such maneuvering to begin with.

Look up what qualifies for tax credits in the U.S. and various states. Almost every
single thing that qualifies for tax credits is something that is a socialist’s wet dream.
The average Joe that was climbing the ladder hasn’t been able to take things off
their taxes that enables that climb since the “Tax reform act” of the 80s. Everyting
since has benefitted the big boys, immigration, churches with dwindling membership,
and anyone that thinks that blockbusting an area to get the right votes is just bitchin’

It’s not Trump’s fault. Winred and the RINOS cashed in sending out those emails asking for support in their own name with words like ‘support Trump’ blah blah. I reported the links to FTC and to Abuse at their servers with copies of those emails, senders and IP addresses. They stopped almost 2 days later after a 24/7 deluge of multiple emails from the same people for months. IT is difficult to know where one’s support goes to – same like those charities that turn out to be nothing of anything to do with charity. Even legit organisations have ‘additional’ appeals – in multiples. Have to be careful.

Consider all of the disciplined people who have refrained from using the Twitter platform for fear of their anti-government, anti-inclusion and diversity values, attitudes, and beliefs being so easily captured for posterity…or something a shade more nefarious. Will those disciplined few now speak in the newly uncensored – yet still government subsidized – public square as if anything has really changed.

I’ve said it before, and I’ll say it again: Look at what people DO, not what they SAY. Musk has pulled Tesla out of California, and has openly attacked several high profile politicians such as Nancy Pelosi. I think Musk knows the USA is the “golden goose” and it’s being strangled by very corrupt and incompetent leadership. He can’t go anywhere else in the world to do the stuff he does. I think he’s doing this to keep being able to do the stuff he wants. If it helps us along the way…cool.
He’s also been calling out population decline. I think him and Trump have more in common than people think.

I firmly believe Elon has a plan on how to monetize Twitter. Imagine if you wanted to create something like a “robotaxi” and needed to have a platform million’s of people used in order to drive demand……..it’s hard to get people to use something “new”
