According to multiple media sources Twitter has reached a deal with the representatives of Elon Musk for the tech billionaire to purchase the social media company. According to the Wall Street Journal, over the weekend the outlines of the deal were agreed and last night the final assembly of the purchase came together.
Keep in mind that Twitter is slated to report first-quarter earnings this Thursday, and originally the board was going to wait until after that earnings announcement to respond to the bid.
Something changed.
My suspicion is the financials of the Q1 earnings report will not support the $54.20 high end evaluation offer originally proposed by Musk.
If the low Q1 earnings rumors are accurate; and if Twitter had declined or fought the offer; the board would have been in the position of declining a deal that was substantially higher than the company market value, a tenuous position legally. Thus, a deal was made.
(Wall Street Journal, update) – “Twitter is in advanced discussions to sell itself to Elon Musk and could finalize a deal Monday, people familiar with the matter said, days after the billionaire unveiled his $43 billion bid for the company.
The two sides worked through the night to hash out a deal that would be valued at $54.20 a share, or $44 billion, the people said. Assuming there isn’t a last-minute snag, the deal is expected to be announced after the market closes Monday, if not sooner.
It’s not clear why the total value of the deal has increased slightly from prior expectations, but it could be related to an updated share count.” (link)
Elon Musk responded to the rumors of the finalized deal with a tweet earlier this afternoon: “I hope that even my worst critics remain on Twitter, because that is what free speech means.”

People have it wrong. Musk takes advantages of subsidies offered to all EV makers. They shouldn’t be offered, but they are. Musk is also what he calls a free speech absolutist, so I believe him when he says he’s buying Twitter and will turn it into the equivalent of a public utility like the phone company was. So if he does, and also reveals that taxpayers are footing the bill for the infrastructure, while I may not like it, it isn’t much different than a subsidy for an EV.
As for Musk being in bed with the deep state, I have no actual knowledge but like Tesla and SpaceX, I believe he takes the money but does not play the games. If he did he’d still be in California, not Texas. IMO he’s more of a libertarian than anything else.

Now, personally I don’t care for BEVs, so we got a PHEV. But the same thing… it drives off the electric motor and it gets the car pool sticker. Main difference is that it has a gas engine so when the battery (smaller) drains you still have motive power… and you can refuel it like a “normal” car. And the subsidies represent some of my tax money coming back.
Which to me, is the perfect conservative’s vehicle….
BTW, EV is the perfect powertrain for a truck… indeed a PHEV serial hybrid is the perfect platform for any vehicle except perhaps for a race car. You get tons of instant on torque so you can blow those commies in their Priuses in an instant! 😉

The only thing that the gubmint did was to skin 3 skins off us every year via taxes – income, property, SS, Medicare, franchise, you name it. Like many acquisitions, there is a due diligence period. If Musk’s team determines that the public-private partnership with the US Govt (IC), is an agreement for the use of the servers and powerful technology in exchange for suppressed of conservative comments, then I think the exposure of TWTR/IC could be substantial enough for the deal not to go through. Or he could re-trade the price to to $26.20 or so….
So he gets to look under the hood, kick the tires, and walk away?

I believe there is a past between Musk and government agencies. When Musk privatizes Twitter will things be more transparent in this private corporation or less transparent. More regulated or less regulated? Or does a private corporation with a front man have more flexibility for corruption and secrecy?
If you ignore all the free speech talk what are the objective capabilitues of Twitter gone private? I would think that even less oversight and transparency is likely. Analyze what can be if Musk is not a white hat.
