There is still doubt if Elon Musk really does want to purchase the Twitter social media platform. However, Musk himself seems to be putting a lot of his own credibility on the line as he announces the construct of his $46 billion purchase proposal.
It looks like Musk has created a second alternative to the purchase if the Twitter board of directors refuses the original offer. Within the secondary construct, a tender offer, Musk would be able to bypass the board and go directly to shareholders.
(YAHOO) – Elon Musk has secured commitments for $46.5bn (£35.5bn) that would allow him to bypass Twitter’s (TWTR) board and go directly to the social media company’s shareholders with his takeover bid.
Musk said he would personally provide $21bn of equity for the deal with another $12.5bn coming from margin loans, according to paperwork filed with the Securities and Exchange Commission on Thursday.
Banks, including Morgan Stanley, have agreed to provide another $13bn in debt secured against Twitter itself, according to the filing.
Musk has not yet determined if he will make a tender offer for Twitter or whether he will take other steps to further the proposal, the filing states.

There are two ways to buy a publicly traded company. The simplest and most common is a board-approved merger. Talks start in secret, the two sides haggle and then arrive at a deal. Shareholders get to vote, and it is an all-or-nothing affair. Typically with a simple majority, the buyer walks away with the entire company. If the vote fails, the buyer goes away empty-handed.
A tender offer instead makes a direct appeal to shareholders to sell—or tender—their shares at a specific price. It can be used in friendly deals, but its real value is to hostile bidders when the target company’s board won’t engage. Tender offers simply go around them.
And they aren’t all or nothing. A buyer can bid for, say, just enough shares to cross 50%, thus seizing control. From there it could replace intransigent board members with friendlier ones, though in practice, it rarely gets that far. If a tender offer looks likely to succeed, reluctant boards tend to capitulate and negotiate a deal.
Mr. Musk would, with some regulatory paperwork, announce the offer at a specific price. The offer has to remain on the table for at least 20 days.
Those documents would lay out the number of shares he is soliciting. If Mr. Musk, who owns more than 9% of Twitter, takes a bare-bones approach, he would seek another 41% or so.
Meanwhile, Twitter would have 10 days to make its own recommendation to shareholders regarding the tender offer—in this case, presumably that it doesn’t accept it.
If not enough shares are tendered, Mr. Musk could cancel the offer or amend the terms.

Do you remember that weird dynamic when President Trump was dealing with North Korea and Kim Jong-un while at the same time having to pretend publicly that Beijing (Chairman Xi Jinping) wasn’t in control of Chairman Kim? There are some similarities here with Elon Musk.
Musk likely has some of the best tech people in the world working for him and advising him. He has to know that Twitter is only operationally viable insofar as the twitter simultaneous user processing systems remain on the backbone of U.S. government big data architecture. Twitter most definitely is not financially stable as a business without govt data-processing subsidy; it’s just too costly and the Twitter service is free for most users.
If you accept that Musk is well aware of the cost issue, then he has to have some plan to deal with it – via at least a vision down the road where Twitter is financially viable – or, he’s going to end up needing the same data processing subsidy from the govt, which would inevitably maintain the same ideological underpinning he is trying to remove.
Assuming Musk is legit in his motives, his only leverage in this game of pretend and conquest, is knowing both the provider (govt) and recipient of the subsidy (Jack) do not want the full scope of the public-private partnership exposed.

My senses tell me that Mr. Musk, when he gets pissed off at other people or organizations, generally has some very good reasons for his point of view where he remembers such negative interactions and when other events occur or the time appears right to him he goes about a game plan to at least get even or to take control of those energies (people, companies, etc.) that previously truly annoyed him and then moves on to his other interests.
This means, from my perspective, that his game plan which he has somewhat indicated, is to change the operations of Twitter by removing what he sees as bad policy and bad people within Twitter. If the government has been in a way underwriting Twitter (think about how much information is gathered, stored and analyzed by the government thru the comments generated on Twitter and what they could possibly do with such information) it will not be long before our government puts in place as many roadblocks as possible or puts out a “hit team” to cripple Mr. Musk’s attempt any way they can.
In other words, expect a war to take place with the white collar people who think of themselves as smart and entitled.
This is the kind of game Mr. Musk lives for, in my opinion.

We never REALLY know what’s going on, but I am loving Elon Musk right now.

In my [technically-informed …] opinion, the actual data-processing load required by Twitter is not necessarily as oppressive as Sundance might believe. One technically-viable strategy is to distribute the processing load away from “centralized servers,” by bringing back some of the key ideas of its original inspiration – “IRC = Internet Relay Chat.”
The word, “relay,” originally referred to packaging the messages that were intended for final delivery to individual users to a distributed collection of “relay servers” positioned throughout the then-mostly-academic Internet. The architecture was hierarchical and decentralized, although to the active users it did not appear to be. You connected to (or, were silently re-connected to) your closest “relay station.”
I believe that Twitter, Facebook, etc. purposely discarded this technical model because they specifically wanted the message traffic to be conducive to “centralized sampling,” because this made “sampling” easier … something which the IRC architecture did not consider. But, this is not the only way in which the underlying technology of these services could be formed – or, re-formed.
I believe that this probable architectural change reflects the idea that: “the product” is actually you.
To clarify: If “centralized control, monitoring, and censorship” were no longer a company priority, then there are many much-less-expensive architectures which could support it. Regional, distributed, strategies, much like the original “IRC,” are both extremely scalable and extremely efficient. But they no longer put every single communication that takes place under your thumb.
In short: “a message which does not concern anyone in San Diego will never be ‘relayed’ to a server in San Diego.”
If the company is “taken private,” then the new private owners actually have a rich number of technical options which would not require “government-owned ‘cloud infrastructure.'”
(Trivia: a then-colleague of mine actually invented and implemented the “relay” concept. But he never got rich from it …)

I caught a glimpse of the issue, can’t remember the guys name but he has something to do with a software platform that’s attempting the same thing. I guess he wants to run for congress, more liberty to attack Tesla under the “1st Amendment” that’s his sole reason and all he’ll talk about for his campaign.
The head of the NHST (or whatever the initials are) is on the board and stock holder of a LiDAR company in Sweden. Tesla ditched LiDAR and that’s why she hates them.
The Tesla FSD is improving vastly, it’s in beta. They have 60,000 cars using it and providing them data. No one else is even close. Like musk said if he eliminates 95% of the vehicle deaths they’ll just be mad at him for the 5% and not thankful for saving 95%.
I think he’s been selected (because he’s got the apparent ability) to take Twitter private before the GOP takes the house and begins investigations and hearings about Twitter’s banning of select voices that seemed to mostly express similar ideas and facts. Question for the electric god worshippers out there: There are about a hundred or so twitter accounts that routinely report all the fraud, lies, lawsuits, SEC filings, quality control issues, customer complaints etc of both Musk and Tesla. Matter of fact the electric god has tried to get people fired, taken them to court (he loses) and done all kinds of really ugly things to stop them from using their twitter accounts. So, do you all think that if the electric god takes over Twitter he will shut down those accounts or will he let them ride. I anxiously await your responses.
I think his entire goal is to expose twitter for what it is. I don’t think he really cares about actually buying the company. Remember when his company was the only one not invited to that government conference on electric vehicles? He wants to hit them back.
Somehow I seem to agree. He must know something is amiss. He’s too smart. But he has to say the right things to persuade shareholders and the board to take control.
Imagine if he said out loud that he will expose the board as criminals and show that Twitter loses money and is worthless.

I looked at Twitters annual report. They state they make money. No mention of government subsidies. Wouldn’t it be illegal to be taking a subsidy from the government and not disclose it on their annual report to shareholders. That sounds like a major illegal act.
Could these Twitter people be facing jail time for this? If so, I could see them fight tooth and nail to avoid being exposed. I also think Elon is extremely smart and already knows this.
Sadly, sooner or later the wet team will be dispatched to handle this.

I take it as both an admission and a confirmation of the points made by Sundance.
I also firmly believe that Musk represents one of the groups inside the government fighting internally over the control of certain strategic assets. Musk is no free speech messiah and is in business with Uncle Sam. In fact, both Musk’s businesses Tesla and SpaceX wouldn’t have happened without a very generous financial, regulatory and legislative support of the federal government.
Anything that will change the political dynamics to be different from 2020 seems to be a benefit. If Twitter does become more open and not controlled by the Democrat party / deep state / traditional media, that would be an upgrade from 2020 when every dissenting voice was deplatformed. I don’t put my faith in a single person other than JC and I have been disappointed many times before, but this change seems to be about as good as we can hope for with respect to one of these tech monopolists/oligarchs.
