Apparently, when the Project Veritas board of directors fired founder and CEO James O’Keefe, they didn’t expect the result to be a collapse in their operational business model. As the kids would say, Veritas f**ked around and found out.
Stunningly, Project Veritas is now suing James O’Keefe, the man they fired, for having the audacity to launch O’Keefe Media Group (OMG), and they are demanding a court order to stop O’Keefe from earning a living. [FULL pdf HERE]
According to the lawsuit, O’Keefe will not stop doing the expose’ journalism and activism that O’Keefe is known for. Project Veritas is not happy, because many of the donors and supporters have left PV to follow James O’Keefe at OMG.
Veritas demands an injunction against O’Keefe, which may stop people -workers and donors- from leaving PV to join him. The lawsuit is a little extreme in the way it is written as an effort to convince a civil jury to find in their favor. [READ HERE]

Non competes are almost unenforceable. If he has a lawyer worth two cents he can beat them.
I am heavily involved in that space. A non compete is nothing to worry about. If he signed something more dangerous that’s another story. There are other types of contracts with much more weight. But a non compete is child’s play due to the fact they are so ridiculous they are nearly unenforceable because of the constitution.
I just watched approximately 50 people try to skirt around or defy their non-competes since our buyout about 1 1/2 years ago. Almost ALL lost their court cases. $7 Billion international company. The few that did win, could prove that they met at least 1 of 3 conditions that invalidates the non-compete.
I have experience with these for over 30 years, up close and personal. Had to abide them in the past until I wised up.
I also have a limited but well versed legal background.
Fortunately, due to past experience, I refused to sign one when they hired me, and I was one of a few that got away with it, on national level. They “needed me!”
If you wish to engage and prove to me you know what you’re talking about, then simply state the 3 key elements to any enforceable non-compete.
Any corporate counsel worth their law degree and license know these and construct them to protect their corporate client/employer.
AND, the Constitution has nothing to do with it. It is ‘contract law’ derived from our English system of common law, that has precedence protecting it.
If you can’t state those 3 elements succinctly, concisely and quickly, then please doesn’t tell me what is enforceable and not.

But were those 50 people you witnessed employees, or were they minority owners, or majority owners?
No matter what Tucker was paid in dollar amount, as far as I can tell, he was merely an employee. And that’s the point.
In the last three years I’ve watched literally every single non compete between employer and employee go in favor of the employee across the board. This is the construction and design industry. But the businesses I watched this happen to are the largest of the large.
And in every instance the attorneys (in house counsel, and I think 16 different attorneys from different external firms) told the executives that they are wasting their time with non competes as they are nearly impossible to enforce. Similar to what everyone is saying about the Okeefe situation. You can’t force a human being not to make a living. And that is how most non competes are worded.
And the corporations I watched this happen to are in the top twelve largest companies in the industry in the US. The only time they tend to go in favor of the employer is if the “employee” is a member, principal, or greater than 2% shareholder. Other than that, the employee almost always wins.

I think that one of O’Keefe’s exposes so angered the victim that he offered huge payoffs to his board of directors to fire him.

Depends on your definition of “lawfare” and “succeeding”.
My take on lawfare, is that it is mostly abusing the Court system, by initiating cases which have no chance of prevailing in court, in order to generate headlines; to attack “in the court of public opinion”.
A year or two later, when the case is eventually thrown out or overturned, people have “moved on”.
The announcement if the indictment or suit is on page one dismissal on page 42.
IMHO, The Trump team HAS developed a tactic to counter this, which is rapid responce, IN the Court of opinion, to quickly discredit the bogus case.
We saw this with MAL raid and Bragg indictments, hence “lawfare” is NOT “succeeding” at least not against PDJT.
Many also consider it “lawfare” to use the courts to bankrupt defendants, but that long predates the rise of lawfare, so really is a seperate abuse of the system, IMHO.

And our side has learned a lot about this practice of “lawfare” and is perfecting our offence in that area of battle.

I would like to know the legal reasoning that they’ll try to use to harm O’Keefe. I’ve seen many cases called precedent that were actually fabricated out of whole cloth. NY Times v. Sullivan is an example of this. It’s not a legal precedent, it’s an excuse.

If we actually had an honest and fair justice/court system, I would say this suit would be laughed out of court. However, I fully expect this suit to be assigned to a judge who will grant it all the attention it doesn’t deserve.

even if James signed some non compete he can fight this. Non compete in the last two years have been largely busted up by many court rulings. Large corporations specifically as well as medium sized companies who have used these legal objects to reduce and in some cases force employees to think hard and long before quitting. There have been some key cases that have set a trend that dematerialized non compete letters.
now having said that…what a person may NOT DO is take proprietary or copyright or exclusively sources material/design/research from the former company…which is normal. Whether o’keefe has abused that or not, is to be seen. But I find it less likely that he did…and more importantly, I think there is an argument to be made that most of his research was sourced by his own domain….but as an employee, one could make the article that even independent talent does not travel to the next company…(meaning, if the “work” was more than just investigative, but also produced and made possible such things as leads to an investigative subject, insider knowledge for leads and leaks, and even funding the strategies to accomplish “you are on camera” moments. this is where it is more about how business works than simply investigative journalism.
perhaps the lesson here? be NOT BEHOLDEN TO LARGE CORPORATE CONTROLLERS! And if you DO, then make sure your contracts are written in GRANITE TO ALLOW YOUR OWN WORK PRODUCT AS UNIQUELY YOUR OWN WORK.

Nothing in it prevents him from quitting and setting up a competing shop any time he wants. The only real substance is that he gets health insurance while he’s there, and can’t actively solicit donors or employees after he leaves. I suspect the intention was to try to intimidate O’Keefe with a bunch of legalese, for some reason (WE”RE in charge now?). Once again, Deep State takes over and boots out the founders.

The lawsuit identifies O’Keefe as an “At Will” employee. That means PV can terminate O’Keefe, or O’Keefe can quit PV, at any time, with or without notice, with or without cause. JOK was “suspended” on Feb 16, 2022. His contract says he can’t do a lot of things for 1 year. He didn’t effectuate OMG until after the 1 yr period.
There’s a lot of huff and puff in the lawsuit that likely won’t be allowed.
They’re just trying to stop him and that isn’t likely going to work out.

I passed along my suggestion to Team O’Keefe to search, find and get on camera Ray Epps. (his current location is a “secret” – we actually know where he is after some rather easy tracking). Ray Epps is a target for investigative work because none of his actions hold water…And there is definitely a story there.
